These Terms and Conditions ("Terms" or "Agreement") govern your access to and use of the ShareWell platform, including our website, mobile applications, services, and related features (collectively, the "Platform").
The Platform is owned and operated by ShareWell Labs, Co., doing business as ShareWell ("ShareWell," "we," "us," or "our").
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree with these Terms, you may not access or use the Platform.
1. Eligibility
The Platform is available only to individuals who are 18 years of age or older. Access may vary by region due to applicable laws.
By using the Platform, you represent and warrant that:
- You are at least 18 years old
- You are legally capable of entering into a binding agreement
- The information you provide is accurate and truthful
Impersonating any person or organization or misrepresenting your identity is prohibited. Accounts engaged in impersonation or fraudulent behavior may be suspended or permanently terminated.
2. Nature of the Platform
ShareWell provides an online platform designed to facilitate peer support, community discussions, and wellness-related interactions.
Through the Platform, users may:
- Join peer support groups
- Participate in discussions
- Connect with hosts or specialists
- Book or attend sessions offered through the Platform
ShareWell provides the technology infrastructure that enables these interactions but does not supervise or control communications between members.
3. Hosts and Specialists
Certain members may offer sessions, groups, or services through the Platform. These individuals may include peer hosts, certified peer specialists, coaches, facilitators, or other wellness providers (collectively referred to as "Hosts" or "Specialists").
Hosts and Specialists:
- Operate as independent providers
- Are not employees, agents, or representatives of ShareWell
- Are solely responsible for the services they provide
ShareWell does not supervise or direct the content of sessions conducted by Hosts or Specialists.
Services offered through the Platform are intended for peer support, coaching, or wellness discussions, and are not medical treatment, psychotherapy, or clinical care, unless explicitly stated and legally authorized.
4. Not Medical or Mental Health Treatment
The Platform and all services offered through it are intended for peer support and community discussion only.
They are not a substitute for professional medical, psychological, or psychiatric treatment.
If you are experiencing a medical or mental health emergency, call 911 immediately or contact a qualified professional.
5. Crisis Situations and Personal Responsibility
ShareWell does not provide crisis intervention services.
If you believe you may harm yourself or others, or if you are experiencing a mental health or medical emergency, you must immediately contact emergency services by calling 911 or contacting a licensed professional.
By using the Platform, you acknowledge that:
- ShareWell is not responsible for monitoring users for signs of crisis or self-harm
- ShareWell is not responsible for intervening in emergency situations
- Users are responsible for seeking appropriate professional care when needed
ShareWell does not guarantee that participation in the Platform will improve mental health or prevent harm.
6. Billing and Subscriptions
Certain features of the Platform may require payment, including memberships, sessions, or other services.
By providing a payment method, you authorize ShareWell to charge applicable fees associated with your account.
Subscriptions may renew automatically unless cancelled prior to the renewal date.
You are responsible for charges incurred prior to cancellation.
ShareWell may update pricing or membership offerings from time to time. Continued use of paid services after such updates constitutes acceptance of the updated pricing.
7. Community Conduct
ShareWell is designed to provide a respectful and supportive environment.
By using the Platform, you agree to participate in good faith.
The following activities are prohibited:
- Harassment, abusive behavior, or threats
- Disrupting group discussions or interfering with participation
- Participating in sessions while under the influence of drugs or alcohol
- Sharing confidential group discussions outside the Platform
- Impersonation, fraud, or deceptive conduct
Members are never required to share personal experiences in group settings.
8. Platform Integrity and Disruptive Activity
The Platform may not be used to organize or coordinate activities that disrupt the ShareWell community or interfere with the operation of the Platform.
Prohibited activities include:
- Organizing petitions, campaigns, media outreach, or coordinated actions targeting ShareWell or its members within the Platform
- Coordinating harassment, review manipulation, or external pressure campaigns
- Repeated posting of content intended to escalate conflict or disrupt community discussions
- Encouraging others to violate these Terms
ShareWell reserves the right to remove such content and take appropriate action to protect the safety and integrity of the community.
9. Content Moderation
ShareWell reserves the right, but is not obligated, to monitor activity on the Platform.
We may remove content, restrict features, suspend accounts, or terminate access if we determine that activity:
- Violates these Terms
- Disrupts the intended purpose of the Platform
- Poses risk to members or the community environment
Moderation decisions are made at ShareWell's discretion.
10. User Interactions and Assumption of Risk
Users interact with other members, hosts, and specialists at their own discretion and risk.
ShareWell does not guarantee the conduct, identity, qualifications, or reliability of any user, host, or specialist.
By using the Platform, you acknowledge that discussions may involve sensitive topics and that ShareWell is not responsible for the actions or statements of individual users.
11. No Duty to Monitor
While ShareWell may monitor activity on the Platform for safety purposes, we are not obligated to monitor all sessions, discussions, or interactions.
ShareWell does not guarantee that harmful or inappropriate behavior will always be identified or prevented.
Users are responsible for their own participation and conduct.
12. Intellectual Property
All content, software, designs, technology, and materials available on the Platform are owned by ShareWell or its licensors and are protected by intellectual property laws.
You may use the Platform only for personal, non-commercial purposes.
You may not reproduce, distribute, modify, or create derivative works from Platform content without prior written permission.
13. Privacy
Your use of the Platform is governed by our Privacy Policy, which explains how we collect and use your information.
14. Indemnification
You agree to indemnify and hold harmless ShareWell, its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses arising from:
- Your use of the Platform
- Your participation in sessions or groups
- Content you post or share
- Your violation of these Terms
This includes reasonable legal fees associated with defending such claims.
Limitation of Liability for Company Personnel
To the fullest extent permitted by law, any claims or causes of action arising out of or related to your use of the Platform must be brought solely against ShareWell Labs, Co. and not against its founders, officers, directors, employees, contractors, agents, or affiliates individually.
Users agree that the Company's founders, officers, directors, employees, contractors, and agents shall have no personal liability for any claims, damages, losses, or liabilities arising from or related to the use of the Platform.
15. Account Suspension and Termination
ShareWell reserves the right, at its sole discretion, to suspend, restrict, or terminate accounts, remove content, or limit access to the Platform at any time and for any reason, including but not limited to violations of these Terms or behavior that disrupts the community or operation of the Platform.
ShareWell may take such action with or without notice.
Moderation decisions made by ShareWell are final.
16. Arbitration and Class Action Waiver
To the fullest extent permitted by law, any disputes arising from these Terms or your use of the Platform will be resolved through binding arbitration rather than court proceedings.
By agreeing to these Terms, you waive the right to participate in class action lawsuits or jury trials.
17. Limitation of Liability
To the fullest extent permitted by law, ShareWell shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform.
This includes damages arising from interactions between users, hosts, or specialists.
Your use of the Platform is at your own risk.
18. Changes to These Terms
ShareWell may update these Terms from time to time.
When updates are made, we will revise the "Last Updated" date.
Continued use of the Platform after the effective date of updated Terms constitutes acceptance of those Terms.
